These Terms of Service ("Terms") apply to the bookkeeping and tax services provided by White Rapids Books ("we", "us", "our") to clients and authorized users ("you", "your").
We provide services under a separate engagement agreement signed between us and you. Where these Terms conflict with that engagement agreement, the engagement agreement controls.
Access to our systems is granted only to current clients and to parties we have authorized in writing. You agree not to share credentials or use our systems for any purpose other than the services you are engaged for.
When you authorize us to connect to a third-party system on your behalf, you grant us permission to access the data in that system as necessary to deliver your services. This permission lasts until you revoke it or your engagement ends.
You are responsible for the accuracy of the information you provide, for reviewing draft work before it is finalized or filed, and for paying invoices in accordance with the engagement agreement.
We perform our services with reasonable professional care. We are not responsible for losses resulting from inaccurate information provided by you, changes in law outside our control, or outages of third-party systems.
To the maximum extent permitted by law, our total liability arising out of these Terms is limited to the fees you have paid us in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
Either party may terminate the engagement in accordance with the engagement agreement. Outstanding fees become payable on termination.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in BC. Disputes will be resolved in the courts of British Columbia.
We may update these Terms from time to time. We will revise the "Last updated" date above when we do.
